Client Services Agreement

The agreement every PointClick client signs: month to month, a 30-day money-back guarantee, a price lock, a clean handover, and clear rules on ownership and confidentiality.

Version: November 3, 2026. Between PointClick (The Beske Group LLC, 122 S Green St, Suite #5, Tehachapi, CA 93561) and the law firm named in the Order Form (“you”).

This agreement sets the ground rules for all the work we do for your firm. Each Order Form says what you’ve bought, the price and the start date. The Service Schedules describe each service. If they ever disagree, the Order Form wins, then this agreement, then the Schedules.

1. Signing

You agree to sign this agreement and each Order Form electronically, and that an electronic signature counts the same as a signed paper copy. You confirm you can sign for your firm. We email both of us a copy of what you signed.

2. What each of us does

We deliver the services in your Order Form in a professional, timely way, using ethical methods (no tactics that put your firm at risk with Google or your bar), and we keep you informed with a monthly report and a call with our founder.

You give us the access, information and approvals we need, in good time; make sure anything you give us (text, photos, logos, client stories) is accurate and yours to use; and pay on time. You’re responsible for your firm’s compliance with your state’s attorney advertising rules; we write with those rules in mind and flag anything we’re unsure of, but final review is yours.

Access we need. On the Client System your website moves onto our hosting during onboarding. If you keep your own host, we need host-level access (SSH/SFTP or the host’s dashboard, including backups); without it, our work covers content and SEO only. Never send us passwords by email or web form: we use invitations, delegate access or a password-sharing link, and the Handover Checklist lists what we used.

3. Fees and payment

  • You can pay by credit or debit card or by ACH bank transfer. We bill on the day you sign up, then monthly on that date.
  • Third-party costs (ad spend paid to Google or Meta, paid directories, licences you buy) are yours and are billed by the provider unless the Order Form says otherwise.
  • If a payment is more than 10 days late we may pause work, and after at least 14 days’ written notice suspend hosting until it’s paid. Late balances may carry interest at 1.5% per month (or the legal maximum, if lower) and reasonable collection costs.

4. 30-day money-back guarantee (Client System only)

Not happy with our work? Tell us in writing within 30 days of your first payment and we’ll refund your first month’s Client System fee in full, to the payment method you used, within 10 business days. One guarantee per firm.

Your first month is research and planning: your audit, benchmarks, competitor analysis and 90-Day Growth Roadmap. You keep all of that, even with the refund. Implementation (a new website, new content and the ongoing work) starts in your second month, so with a refund, new designs and drafts stay with us. Changes already made on your own accounts stay. Ad spend and third-party costs aren’t refundable.

Outside the guarantee, payments aren’t refundable: that includes the 12-month on-ramp, one-off projects, the paid ads add-on and partial months.

5. Introductory price lock

If your Order Form shows the introductory price lock, your base Client System price stays the same for 12 months from your first payment. It covers the base level only: scope you add is priced at our current rates, and if you scale back after upgrading, you return to the current base price. After 12 months you renew at our current price. Leaving ends the lock; there’s nothing to pay back.

6. Term, cancelling and handover

Month to month. Ongoing services renew each month until either of us cancels. There’s no long-term contract.

Cancelling. Cancel any time by email to hello@pointclick.io. Your services run to the end of the month you’ve paid for, and we never charge for a month after you’ve told us you’re leaving. We may also end the agreement with 30 days’ written notice, or straight away if payments stop, these terms are broken, or our team is treated abusively; you pay for work done to that point.

Handover. With at least 30 days’ notice before your last billing date, the full handover is included (Handover Checklist): every account and admin login connected to your website and marketing, access transferred for accounts in your name, a full backup of your website, help moving it to your new host, and exports of your firm’s data from our tools. With less notice we still hand over the essentials by your last day (admin access to accounts in your name and a full website backup); the rest is a flat $500 handover fee.

Your website while you move. If it’s on our hosting it stays live through your paid month. If you need more time, we host it month to month at $150/month for up to three months. We never take your site offline without at least 14 days’ written notice.

Open work. Work in progress when you leave is delivered as it stands at your last day; nothing half-built goes live without your OK.

7. Ownership

  • What you give us stays yours.
  • Content we publish for you (pages, posts, social posts, graphics) is yours once it’s paid for.
  • A website we build on the Client System is yours to keep from your third month: if you leave in month 3 or later, you get the files, design and content, with a backup and help moving it. If you leave in month 2, content already published stays and an unfinished build stays with us; you can buy it out at our one-off website price. A website built as a one-off project is yours once it’s paid in full.
  • Your accounts (domain, Google Business Profile, Search Console, Analytics, ad accounts, social profiles) are yours: existing ones stay yours, and new ones are created in your firm’s name with us as a manager. You can remove our access at any time.
  • Our accounts and tools (rank tracking, reporting and research tools, outreach and link-building accounts, call-tracking numbers on our account) stay ours; we export your firm’s data from them on request.
  • Our know-how (tools, templates, processes, code we built separately) stays ours; you can keep using anything of it that’s part of your delivered website.
  • Licensed plugins and themes we supply on our hosting are covered by our licences while you’re a client; after you leave they keep working, but updates and support need your own licence (listed in the Handover Checklist).
  • Portfolio and anonymised results. We may show finished work and describe results in anonymised form (no firm name, no figures that could identify you), unless you tell us in writing not to.

8. Confidentiality and your firm’s data

We work with law firms, so confidentiality matters.

  • We keep your non-public information confidential, use it only to deliver our services, and share it only with providers we need for the work (hosting, email, ad and analytics platforms) or when the law requires.
  • We don’t need your clients’ matter information and ask you not to send it. Where our work touches client data (form submissions, call recordings, review platforms), we limit access to the people doing the work, use the platforms’ own access controls, and don’t use it for anything else.
  • If we learn of a security incident affecting your data, we tell you without undue delay and help you respond.
  • When the agreement ends, we delete or return your data, except what we must keep for accounting or legal reasons, and delete stored credentials.
  • You remain responsible for your own professional duties (confidentiality, privilege, privacy laws) for anything you choose to share with us.
  • Where a privacy law such as the California Consumer Privacy Act treats us as your service provider, we use personal information you share only to provide the services, we don’t sell or share it, and we don’t combine it with other data except as that law allows.

9. No guarantees of results; accessibility

Marketing isn’t an exact science: search engines, AI tools and competitors change. We don’t guarantee rankings, leads, cases, ad results or placement in ChatGPT, Google’s AI Overviews or other AI answers. Our guarantee in section 4 is about whether you’re happy with our work.

We build and test websites toward the WCAG 2.2 AA accessibility guidelines and fix reported issues, but we don’t guarantee compliance with the ADA or any other accessibility law: that depends on your content and third-party tools, and stays your responsibility.

10. Liability

Our total liability under this agreement is limited to what you paid us in the three months before the claim. Neither of us is liable for indirect or consequential losses such as lost profits or lost business. These limits don’t apply where California law doesn’t allow them (Civil Code § 1668: fraud, wilful injury, gross negligence or breaking the law). You cover claims that arise from materials you provide or from how you use our work (what you publish, the ads you approve, how you describe your firm).

11. Non-solicitation

While we work together and for 12 months after, neither of us hires the other’s staff or contractors who worked on your account without the other’s OK.

12. Disputes and the rest

  • California law applies. If a disagreement comes up, we’ll talk it through first, then try mediation, then binding arbitration in California under AAA rules; either of us can still use small claims court for claims that qualify.
  • Neither of us is liable for delays caused by events outside our control (outages, natural disasters, platform failures).
  • If part of this agreement is unenforceable, the rest still applies. This agreement and your Order Forms are the whole deal; changes must be in writing (email counts).
  • We may update this agreement for new Order Forms; changes apply to you only when you sign a new Order Form or agree in writing.
  • Sections 7, 8, 10, 11 and 12 continue after the agreement ends.

Every client signs this agreement electronically together with an Order Form for their engagement. We publish it here so you can read it before we ever talk.
